The board allotted 726,829 fully convertible warrants to promoter and managing director Mukesh Goel on a preferential basis. Each warrant converts into one Rs. 10 share at Rs. 82, worth Rs. 5.96 crore in total. Rs. 1.49 crore was paid upfront; the balance is due upon conversion within 18 months. If all convert, Goel's stake rises from 50.20% to about 57.49%.
No immediate dilution. On conversion, existing holders face dilution and the promoter's stake could rise to 57.49%, strengthening control.
