Aarcon Facilities Ltd (formerly R B Gupta Financials Ltd) submitted its un-audited financial results for Q2 and H1 FY26 (ended 30 September 2025) along with a limited review report from statutory auditor V.J. Amin & Co., which carries an unmodified (clean) opinion. The board also approved forfeiture of 11,73,100 partly paid-up equity shares because the holders failed to pay the allotment money by the due date of 30 August 2025. As a result, total shares outstanding reduced from 59,60,000 to 47,86,900, and promoter holding jumped sharply from 74.48% to 92.73%, while public shareholding fell to just 7.27%, well below the 25% minimum public shareholding (MPS) norm. The company has been given 12 months (until 12 November 2026) to restore MPS compliance. The balance sheet continues to show negative reserves & surplus of about ₹(18.74) lakhs, though cash flow from operations was positive.
For retail shareholders, the clean auditor opinion is positive, but the forfeiture of shares and the promoter holding rising above 92% are notable. Public shareholders now own less than 8%, triggering MPS non-compliance that the company must fix within a year — this could lead to dilution or share buyback actions that may affect share price and float.
