The Board of Adani Enterprises approved a rights issue of partly paid-up equity shares (face value ₹1) for an amount not exceeding ₹25,000 crore, to be offered to eligible shareholders. The Board also approved the unaudited consolidated financial results for Q2 and H1 FY26, with Q2 revenue from operations at ₹21,248.51 crore and profit after tax from continuing operations at ₹3,414.43 crore. H1 FY26 PAT stood at ₹4,390.91 crore with total comprehensive income of ₹4,731.10 crore. The results also reflect an exceptional gain of ₹2,968.72 crore from the sale of a 10.42% stake in AWL Agri Business and a ₹614.56 crore gain from the Adani Cementation-Ambuja merger becoming effective from August 1, 2025. SEBI also closed two show cause notices related to the Hindenburg-era allegations with no penalties, providing regulatory relief.
The ₹25,000 crore rights issue is a significant capital raise that will dilute existing shareholders depending on the issue price and entitlement ratio, which are yet to be decided. Q2 results were strong, boosted by one-time gains from stake sales and mergers, and the SEBI clearance removes a key overhang on the stock.
