Aditya Birla Housing Finance (ABHFL), a material subsidiary of Aditya Birla Capital, completed a preferential allotment of 12.32 crore equity shares at Rs. 223.12 per share to Indriya Limited, an entity of Advent International. The transaction raised approximately Rs. 2,750 crore for the housing finance business. Post-allotment, Advent International holds 14.286% on a fully diluted basis, reducing Aditya Birla Capital's stake from 100% to 85.505%, meaning ABHFL is no longer a wholly-owned subsidiary. ABHFL contributed 6.54% of consolidated revenue and 12.45% of consolidated net worth in FY 2024-25.
The dilution from wholly-owned to 85.5% stake is marginally negative for ABCL in terms of consolidated earnings but brings in a marquee global PE investor and strengthens ABHFL's growth capital base. The housing finance subsidiary's independence increases slightly.
