Aditya Birla Capital's board has approved a preferential issuance of 11.23 crore equity shares at Rs. 356.02 per share for a total consideration of Rs. 4,000 crore on private placement basis. The allotment is split between Grasim Industries (Promoter) receiving Rs. 2,880 crore worth of shares, Suryaja Investments Pte. Ltd. (Aditya Birla Group entity) receiving Rs. 200 crore, and International Finance Corporation (IFC) receiving Rs. 920 crore. Post-allotment, Grasim's stake will increase from 52.27% to 53.08%, while IFC will hold 0.95% and Suryaja 0.21%. The company has executed a Share Subscription Agreement and Policy Agreement with IFC. Proceeds will be used for augmenting capital base, funding lending business growth, and general corporate purposes. The issue is subject to shareholder approval at an EGM on June 12, 2026, and other regulatory approvals.
This Rs. 4,000 crore capital raise significantly strengthens ABCL's balance sheet and supports its next phase of growth in lending and financial services. The marquee investment by IFC, a World Bank Group entity, signals institutional confidence in the company and aligns with the company's focus on MSME financing.
