Affle 3i promoters AGPL Pte. Ltd. and Affle Holdings Pte. Ltd. have given non-disposal undertakings covering 7.73 crore shares (54.91% of total share capital and 100% of promoter holding) in favour of HSBC Singapore and Citibank Singapore branches. The encumbrance arose from a facility agreement dated June 5, 2026 for USD 80 million, extendable up to USD 170 million. Funds are earmarked for promoter group buyback of non-promoter shares up to USD 70 million and a preferential capital issuance for the company of at least USD 90 million. No direct pledge has been created.
Non-disposal restriction limits promoter share selling; signals promoter commitment and likely future stake increase via preferential issue.
