Airfloa Rail Technology has received two adjudication orders from the Registrar of Companies (RoC), Chennai dated 7 January 2026 for failing to transfer unspent Corporate Social Responsibility (CSR) funds on time under Section 135 of the Companies Act, 2013, covering financial years 2020-21 and 2022-23. The RoC has imposed a total penalty of Rs. 45.63 lakh on the company (Rs. 19.64 lakh for FY22-23 and Rs. 25.99 lakh for FY20-21), along with Rs. 1.96 lakh and Rs. 2 lakh on each of its two directors as officers in default. The company had itself filed the suo moto adjudication application back in May 2025, and has since transferred the unspent CSR amounts to the PM's National Relief Fund. The penalty is to be paid within 90 days, and the company has stated it will appeal to the Regional Director via a compounding application under Section 441.
The financial impact is modest for the company, but it flags a past CSR compliance lapse. Near-term profitability could be slightly dented if the appeal fails, though the company appears confident of getting a waiver or reduction given it self-reported and rectified the shortfall.
