Anka India has informed BSE that Mr. Amit Sharma and Mr. Arjit Sachdeva, who completed their open offer to acquire shares from the public on December 23, 2025, have been reclassified from the Public category to the Promoter category under SEBI LODR Regulation 31A(10)(ii). Post reclassification, Amit Sharma holds 59.89% (3,08,70,049 shares) and Arjit Sachdeva holds 14.97% (77,17,511 shares), together owning roughly 74.86% of the company. The open offer was launched under SEBI SAST Regulations 2011, with the Letter of Offer dated October 7, 2025. This effectively results in a change of control of the company in favour of the two acquirers.
This is a significant change-of-control event. The new promoters now hold about three-quarters of the company, leaving only around 25% with public shareholders, which means very limited free float and potential illiquidity in the stock. Existing minority investors should be aware that their shareholding now sits with a tightly-controlled, promoter-driven company with reduced public participation.
