Apis India Ltd conducted a Postal Ballot via remote e-voting between October 21 and November 19, 2025, with voting results announced on November 20, 2025. Two ordinary resolutions were put to shareholders: (1) Issue of Bonus Shares to members, and (2) Increase in Authorised Share Capital with consequent alteration to the Capital Clause of the Memorandum of Association. Out of 55,10,076 total shares, 55,01,991 shares (99.85%) were polled, and both resolutions were passed with 100% votes in favour and zero against. Promoters (41,17,199 shares) voted unanimously in favour, and public non-institutional shareholders (13,84,792 shares polled out of 13,92,877 held) also voted 100% in favour. The scrutinizer, Gaurav Shah, confirmed both resolutions were approved with the requisite majority.
Shareholders have greenlit the bonus share issuance, which will expand the total share count and may lift liquidity in the stock, though per-share metrics like EPS will adjust proportionally. The higher authorised capital also gives the company room to support the bonus and any future fund-raising needs, reflecting strong shareholder confidence with zero dissent on either proposal.
