The NSE had asked the company to explain why consolidated financial results were not filed for the quarter ended September 30, 2025. The company clarified that it sold its 35.68% stake in subsidiary Westwind Realtors Private Limited (WRPL) to group entity Sri Adhikari Brothers Assets Holding Private Limited (SABAHPL) on August 22, 2025, so WRPL has ceased to be a subsidiary. The sale was part of the NCLT-approved Resolution Plan (order dated December 8, 2023) under the IBC, which required the company to pay ₹24 Crores to financial creditors within 7-18 months. As a result, the company sold three non-core office floors in the Adhikari Chambers building in Andheri (West), Mumbai for a total of about ₹18.20 Crores. The related-party transaction was approved by shareholders through a postal ballot passed on June 27, 2025. Because the subsidiary has been divested, consolidated financial results are no longer applicable from the September 2025 quarter, and only standalone results will be reported.
Shareholders should note that the company has shed its only remaining subsidiary, narrowing the group to a standalone media entity.
