Sankhya Infotech's board approved quarterly and annual financial results spanning Q1 FY2022-23 through Q4 FY2024-25 in a single sitting on January 30, 2026, after extended delays. The company has no revenue from operations across all reported periods and has been consistently loss-making, with a full-year FY23 net loss of about Rs. 524 lakhs (down from Rs. 1,390 lakhs in FY22). The company had been under Corporate Insolvency Resolution Process (CIRP) since July 2021, with a Resolution Plan approved by NCLT Hyderabad in June 2022 involving a 95% haircut for public shareholders, merger of Gwebitsol Pvt Ltd, and reconstitution of the board. New auditor M/s N G Rao & Associates was appointed on October 31, 2025 to audit from FY23 onwards after the previous auditor's signing partner passed away. The auditor flagged an Emphasis of Matter on the implementation of the Resolution Plan and capital restructuring.
Shareholders should note the company remains a non-operating entity with zero revenue and continued losses, though the loss trajectory has narrowed post-Resolution Plan. Existing investors were diluted 95% without compensation, and the share capital expanded from Rs. 1,459.71 lakhs to Rs. 4,858.17 lakhs by FY23, fundamentally changing the shareholding structure.
