ASI Industries promoter group underwent a family restructuring following the dissolution of Deepak Jatia (HUF) on 7 June 2025. On 16 June 2025, 2,75,02,779 equity shares (30.53%) held by the HUF were distributed to its four members: Mr. Deepak Jatia received 2,74,99,779 shares (30.53%), while Tushya Jatia, Anita Jatia, and Prerna Agarwal each received 1,000 shares. As a result, Deepak Jatia's individual holding jumped from 4.45% to 34.98%, making him the single largest shareholder. The transaction was an off-market inter-se transfer with no consideration involved, exempt from the open offer requirement under Regulation 10(1)(a)(ii). The aggregate promoter group holding remained unchanged before and after the transfer.
This is purely a family-level restructuring with no change in total promoter ownership or any cash outflow from the company, so there is no material impact on the stock price or minority shareholders. Mr. Deepak Jatia is now the dominant individual shareholder with 34.98% stake, which consolidates decision-making within the family but does not alter overall promoter control of approximately 72.5%.
