Valecha Engineering reported audited standalone results for Q4 FY26 and full-year FY26. Full-year revenue from operations fell to ₹26.93 crore from ₹29.65 crore in FY25, a decline of about 9%. The company posted a Q4 loss of ₹9.43 crore (versus a profit of ₹0.25 crore in Q3 and ₹439.54 crore in Q4 FY25, which included a one-time exceptional gain of ₹433.62 crore from CIRP resolution). Full-year PAT collapsed to ₹1.76 crore from ₹437.37 crore. Exceptional items for FY26 were a net loss of ₹3.91 crore, including ₹1.88 crore impairment on subsidiary investments and ₹2.28 crore expected credit loss on trade receivables. The statutory auditor issued an Unmodified opinion but flagged 12 Emphasis of Matter notes covering the ongoing CIRP of subsidiary VKTRL, uncertainty around recoverability of ₹169 crore of loans to subsidiaries, and a fresh income tax demand of ₹191.23 crore for AY 2024-25 which the company is appealing.
Shareholders should brace for a negative market reaction given the Q4 loss, shrinking revenue, sharp drop in full-year profits, and a large new tax demand. The stock remains a high-risk turnaround story — future performance hinges on the outcome of the tax appeal, the subsidiary CIRP resolution, and the company's ability to recover ₹285+ crore stuck in subsidiaries, trade receivables, and advances.
