On the reaction day the stock moved 0.3 pts more than Nifty Microcap 250 and 0.3 pts less than its Pharmaceuticals peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.
Minute windows have no benchmark: there is no intraday index history to compare against.
Shelter Pharma Ltd's board, meeting on 6 August 2025, approved the allotment of 88.08 lakh convertible share warrants at Rs. 42.25 per warrant (face value Rs. 10 per underlying equity share), aggregating to Rs. 37.21 crore. Each warrant carries a 25% upfront payment of Rs. 10.5625 (Rs. 9.30 crore already received) and a 75% balance of Rs. 31.6875 payable on exercise within 18 months. Allottees include 5 members of the promoter and promoter group (around 30 lakh warrants) and 31 non-promoter investors (about 58 lakh warrants), all closely connected individuals and small investors with no institutional or marquee names.
This is a promoter-led preferential warrant issue that will dilute equity once converted (over the next 18 months), but only Rs. 9.30 crore of cash has actually come in for now. The stock may see near-term dilution overhang, though promoter participation signals their continued commitment. Shareholders should watch the warrant exercise price of Rs. 31.6875 as a near-term reference level.
