Baid Finserv has allotted 48,02,732 equity shares to two promoter group entities — Niranjana Properties Private Limited and Dream Realmart Private Limited — upon their conversion of an equal number of convertible warrants originally issued on April 9, 2025, via a preferential allotment on a private placement basis. The shares were allotted at an issue price of Rs. 15.10 each (face value Rs. 2 + premium Rs. 13.10), with the company receiving the balance 75% consideration of Rs. 11.325 per warrant, totalling approximately Rs. 5.44 crore. As a result, promoter group shareholding rose from 45.71% to 47.39%, and the company's paid-up equity capital increased from Rs. 30.02 crore to Rs. 30.98 crore. All warrants held by these two allottees have now been fully converted with no warrants remaining outstanding from them.
This is a promoter-driven equity infusion that increases promoter shareholding and slightly dilutes non-promoter shareholders, but signals promoter confidence since the promoters chose to put in additional capital by converting warrants into shares.
