Bajaj Holdings & Investment Limited (BHIL) sold 1.04 crore equity shares of its associate company Bajaj Finserv Limited (BFS) through a block deal on the stock exchange on 6 June 2025. The transaction fetched an aggregate consideration of Rs. 2,002.21 crore and represents about 0.65% of BFS's paid-up capital. Buyers were public investors, with no promoter group or related-party entities involved, and the deal is not a related-party transaction. Cash proceeds will be received on 9 June 2025. Even after this sale, BFS continues to be classified as an associate of BHIL, contributing 56.51% to BHIL's consolidated profit after tax and 45.07% to its consolidated net worth.
BHIL is marginally trimming its holding in BFS, unlocking over Rs. 2,000 crore of cash while keeping BFS as a key associate. The earnings contribution from BFS is largely unaffected given the small size of the stake sold, so shareholders should see minimal change in underlying value.
