Bajel Projects Limited reported standalone revenue of Rs. 9,952.55 crore for FY2026, a significant increase from Rs. 2,882.82 crore in FY2025. However, profit after tax dropped sharply to Rs. 289.33 lakh from Rs. 1,546.35 lakh in the prior year, primarily due to an exceptional charge of Rs. 772.06 lakh related to new labour code implementation (Code on Social Security etc.). The company recommended a final dividend of Rs. 0.60 per share (30% of face value Rs. 2), with record date July 31, 2026. The board also approved increasing borrowing limits from Rs. 3,500 crore to Rs. 5,000 crore, subject to shareholder approval. Key management changes include Mr. Ajay Nagle relinquishing the Company Secretary role (retiring August 31, 2026) and Ms. Amee Joshi appointed as the new Company Secretary & Chief Compliance Officer. Mrs. Pooja Bajaj was appointed as Additional Non-Executive Non-Independent Director. The 4th AGM will be held on August 7, 2026. The auditor gave an unmodified opinion with an emphasis of matter on ongoing arbitration proceedings for recovery of Rs. 8,596 lakh from three customers.
Despite massive revenue growth, the sharp decline in profitability is concerning for shareholders. The dividend provides some return, but the underlying business profitability needs monitoring. The increased borrowing limits indicate potential expansion plans but also higher financial leverage.
