Fines imposed by BSE Limited on the Company for the quarter ended on 31st March 2026 for reasons beyond the control of the Company

BSE Limited has imposed fines of Rs. 7,50,480/- (inclusive of GST) on Balmer Lawrie & Company Ltd for non-compliance with various provisions of the SEBI Listing Regulations during the quarter ended 31st March 2026. The violations relate to board composition requirements, including the absence of Independent Director, Woman Director, and Independent Woman Director from 28th March to 31st March 2026, and insufficient Non-Executive Directors on the Board. Additionally, the Nomination and Remuneration Committee did not have all Non-Executive Directors during 1st January to 17th March 2026. The company has clarified that these non-compliances were beyond its control since it is a Central Public Sector Enterprise under the Ministry of Petroleum & Natural Gas, where board appointments are made by the President of India. The company has submitted representations to BSE seeking waiver of the fine.
The fine amount of Rs. 7.5 lakh is relatively small and the company states no major operational impact is expected.
