BSE fined Balmer Lawrie Investments Rs 9,78,220 (inclusive of GST) for non-compliance of SEBI LODR Regulations 17(1), 17(2A), 18(1) and 19(1)/19(2) for the quarter ended 30 June 2026. The Board had fewer than 6 directors and lacked Independent and Woman Directors, affecting quorum, Audit Committee and Nomination and Remuneration Committee composition. The company is a CPSE under the Ministry of Petroleum and Natural Gas and says the gaps are beyond its control since board appointments depend on the Administrative Ministry. It has applied to BSE for waiver of the fine.
Minor financial impact: Rs 9.78 lakh contingent liability. Company has applied for waiver. Non-compliance stems from government-controlled board composition.
