On the reaction day the stock moved 0.7 pts more than Nifty Microcap 250 and 1.2 pts more than its Non Banking Financial Company (NBFC) peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.
Minute windows have no benchmark: there is no intraday index history to compare against.
Bazel International Ltd (an NBFC) announced audited financial results for Q4 and FY ended 31st March 2025 along with cash flow statements, with the auditor issuing an unmodified (clean) opinion. On a standalone basis, total income fell sharply to Rs. 407.24 lakhs from Rs. 1,781.60 lakhs in FY24, mainly because prior year included a one-time Rs. 1,539.14 lakh item under sale of services. Despite the revenue drop, net profit surged to Rs. 144.55 lakhs (vs Rs. 35.55 lakhs), with EPS at Rs. 7.59 (vs Rs. 1.87). On a consolidated basis, net profit attributable to shareholders stood at Rs. 76.18 lakhs. The Board appointed Mr. Vivek Singh as Internal Auditor for FY26 and re-appointed M/s Meenu G & Associates as Secretarial Auditor for 5 years. Management deferred the proposal to increase authorized capital and raise further funds via preferential issue. Paid-up equity share capital rose massively to Rs. 33,791.16 lakhs from Rs. 195.05 lakhs, reflecting prior preferential allotments (loan-to-equity conversion and warrants).
Clean audit opinion and a more than 4x jump in standalone net profit are positives, but the steep revenue decline and negative operating cash flow of Rs. 812.64 lakhs (standalone) signal weak core cash generation. Deferral of the capital raise plan may delay any near-term fund infusion, though the stock trades on a very small float given the massive equity expansion.
