Beezaasan Explotech has informed BSE that its equity shares, originally treated as 'infrequently traded', have now been reclassified as 'frequently traded' based on a recalculation of trading turnover from the listing date (March 3, 2025) to the record date (November 18, 2025). This reclassification is relevant to its already-approved preferential allotment of 22,30,641 equity shares on a non-cash basis. The preferential issue, approved by the Board on November 25, 2025 and by shareholders on December 18, 2025, is being made to 3 main promoters (Sunilkumar Somani, Navneetkumar Somani, Sunil R. Somani) and 4 promoter-group entities (Pushpaben Shah, Komalben Somani, Manisha Somani, and Shah Radheshyam Madanlal HUF). The company has clarified that all other terms of the preferential issue, including the issue price, consideration, and purpose, remain unchanged.
This is a procedural clarification on price-discovery methodology under SEBI ICDR rules and does not change the previously approved terms, so there is no fresh dilution or pricing surprise for existing shareholders.
