Bengal & Assam Company Ltd's promoter group entity, Yashodhan Enterprises (a partnership firm), has been converted into a private limited company now called YPL Enterprises Pvt. Ltd. As part of this restructuring, 19,45,619 equity shares representing 17.06% of BACL's share capital have been transferred from the partnership firm to YPL Enterprises through an off-market trade without any consideration (no money exchanged). Before the transfer, YPL Enterprises held NIL shares; after the transfer, it holds 17.06%. The shares were previously registered in the names of partners Bharat Hari Singhania (5.73%), Raghupati Singhania as Karta of HUF (5.73%), and Anshuman Singhania as Karta of HUF (5.59%). Since both the transferor and transferee are promoter group constituents, the overall promoter group's stake in BACL remains unchanged.
This is a purely internal reorganization within the promoter group with no change in total promoter ownership, no money involved, and no impact on public shareholders. Existing minority investors should see no change in company control, valuation, or shareholding structure — the transfer is essentially a reshuffle of how the promoter family holds its stake.
