Biogen Pharmachem Industries' board, meeting on 23 March 2026, has recommended a bonus issue of 1 fully paid-up equity share for every 6 shares held (1:6 ratio). Approximately 15.04 crore bonus shares of Re. 1 each will be issued, funded from the Securities Premium of around Rs. 17 crore available as on 31 March 2025. Post-issue paid-up capital will rise from Rs. 90.26 crore to about Rs. 105.30 crore. The board also approved increasing authorized share capital from Rs. 91 crore to Rs. 108 crore, and appointed M/s. Goenka Mehta & Associates as new statutory auditors to fill a casual vacancy caused by the medical resignation of the previous auditor. All these items are subject to shareholder approval via postal ballot, with the record date to be announced later.
The 1:6 bonus issue is a modest capitalisation that will increase share count by about 16.7% and proportionally adjust the share price, but does not change the company's overall value.
