Bombay Dyeing's board met on May 5, 2025 and approved audited financial results for Q4 and full year ended March 31, 2025, with the auditor issuing an unmodified (clean) opinion. The board recommended a final dividend of Rs 1.20 per share (60% on face value of Rs 2) subject to shareholder approval at the AGM on August 13, 2025, with the record date set as August 6, 2025. For the full year, revenue from operations stood at Rs 1,605.43 crore, down from Rs 1,688.48 crore a year ago, while profit after tax was Rs 489.83 crore versus Rs 2,948.42 crore — the sharp fall mainly because last year's numbers were boosted by a one-time exceptional gain of Rs 3,945.87 crore compared to Rs 552.56 crore this year. Underlying operations actually turned around, with profit before exceptional items swinging from a loss of Rs 295.97 crore to a profit of Rs 47.99 crore, helped by a steep drop in finance costs from Rs 326.35 crore to Rs 19.24 crore. The auditor flagged an emphasis of matter regarding an old SEBI penalty order of Rs 2.25 crore, which is under appeal at SAT and currently stayed.
Shareholders get a modest dividend and clarity on FY25 numbers; the headline profit slump reflects the absence of last year's large one-time gain rather than a deterioration in operations, which actually improved. Watch the pending SAT ruling on the SEBI matter as a potential overhang.
