Bombay Dyeing's Board approved audited financial results for Q4 and FY ended March 31, 2025, with standalone revenue from operations at ₹1,605.43 crore, down from ₹1,688.48 crore in FY24. FY25 profit after tax was ₹489.83 crore vs ₹2,948.42 crore in FY24; the year-on-year drop reflects lower exceptional items (₹552.56 crore in FY25 vs ₹3,945.87 crore in FY24). The Board recommended a final dividend of ₹1.20 per equity share (60%) on shares of ₹2 face value, subject to shareholder approval at the 145th AGM on August 13, 2025 (record date August 6, 2025). Bansi S. Mehta & Co issued an unmodified audit opinion on both standalone and consolidated results, but flagged an Emphasis of Matter regarding a 2022 SEBI order imposing a ₹2.25 crore penalty and a 2-year securities market restraint, currently under appeal at SAT. Parikh & Associates was appointed as Secretarial Auditor for a five-year term starting FY26.
The small ₹1.20 final dividend is modest for shareholders, while the real estate segment continued to drag with widening losses and steep revenue decline. The pending SEBI matter remains a key overhang until the SAT ruling is delivered.
