Bombay Dyeing's board approved audited financial results for Q4 and FY ended March 31, 2025, with statutory auditors Bansi S. Mehta & Co. issuing an unmodified opinion. FY25 standalone revenue from operations stood at Rs 1,605.43 crore, down from Rs 1,688.48 crore in FY24, while profit after tax was Rs 489.83 crore (vs Rs 2,948.42 crore in FY24, which included large exceptional items). Exceptional items of Rs 552.56 crore were booked in FY25 (vs Rs 3,945.87 crore in FY24). The board recommended a final dividend of Rs 1.20 per share (60% on face value of Rs 2). The 145th AGM is scheduled for August 13, 2025, with book closure from August 7 to August 13, 2025 and record date of August 6, 2025. The auditors also flagged an Emphasis of Matter regarding a 2022 SEBI order imposing Rs 2.25 crore penalty and a 2-year market access ban, which is currently stayed by SAT with order reserved. Parikh & Associates were appointed as Secretarial Auditors for FY26–FY30.
Shareholders will receive a Rs 1.20 final dividend per share if approved at the AGM; the SEBI matter remains a key overhang as SAT's final order is pending, though the financial impact has not been factored into current results. Lower revenue and sharply lower PAT (despite still being positive) compared to the exceptional FY24 base may draw investor attention.
