Bombay Dyeing reported FY 2025-26 standalone revenue of ₹1,460.33 crore, down ~9% from ₹1,605.43 crore in FY 2024-25. PAT fell to ₹26.66 crore from ₹489.83 crore — largely due to the prior year including a ₹552.56 crore exceptional gain vs a ₹1.19 crore net charge in FY26. Q4 FY26 standalone PAT was ₹20.99 crore, up 83% from ₹11.48 crore in Q4 FY25, suggesting a recovery in the March quarter. The Board recommended a final dividend of ₹0.40 per share (20% on ₹2 face value). The previously announced Rights Issue has been abandoned after evaluation. Auditors Bansi S. Mehta & Co. issued an unmodified (clean) opinion on both standalone and consolidated results. Mr. Rajesh Kumar Batra was reappointed as Non-Executive Independent Director for a second 5-year term.
Revenue decline and lower full-year PAT reflect the absence of prior-year exceptional gains; however, Q4 shows improving profitability. Dividend payout is modest at ₹0.40/share. Abandoning the Rights Issue removes potential equity dilution but may signal conservative capital management. Clean audit opinion is a positive signal.
