Bonlon Industries' Board has allotted 1.20 crore fully convertible warrants at Rs. 33 each on a preferential basis, approved earlier via postal ballot in May 2025. Each warrant can be converted into one equity share of Rs. 10 face value within 18 months, with 25% (Rs. 8.25 per warrant) already collected as upfront subscription, totaling about Rs. 9.95 crore received. The remaining 75% (around Rs. 29.83 crore) will come in later on conversion, taking the total potential equity raise to roughly Rs. 39.78 crore. About 80% of the warrants (97 lakh) went to the Promoter/Promoter Group, including the MD Arun Kumar Jain and his family entities, while the remaining 23.55 lakh warrants were allotted to public category allottees.
This is a promoter-led capital infusion that signals confidence in the business, but it will cause equity dilution once warrants are converted over the next 18 months. Shareholders should watch for stock supply pressure when the balance 75% gets paid and conversion happens.
