Swara Baby Products, a 76.59% subsidiary of Brainbees (FirstCry), has filed a DRHP for an IPO of up to Rs 1,000 crore. This includes a fresh issue of Rs 500 crore and an Offer for Sale of Rs 500 crore (partial monetization by Brainbees). Swara Baby manufactures baby diapers, adult diapers and sanitary napkins. FY26 revenue was Rs 1,164 crore with EBITDA of Rs 193 crore (adjusted Rs 145 crore consolidated into Brainbees). Brainbees will remain invested and Swara Baby stays a subsidiary. The IPO allows Swara Baby to pursue independent growth in contract manufacturing while Brainbees crystallizes value.
Partial value unlocking for FirstCry shareholders. Swara Baby stays a subsidiary, so no major change to consolidated operations.
