Brightcom Group filed a Statement on Impact of Audit Qualifications after statutory auditor PR Chandra & Co issued a qualified opinion on its FY25 results. On a consolidated basis, the company reported total income of ~₹51,467 crore, net profit of ~₹7,100 crore, EPS of ₹3.52, total assets of ~₹98,001 crore, and net worth of ~₹86,893 crore. The auditor flagged six qualifications, key ones being: (a) reliance on US branch financials confirmed only by a CPA, (b) SEBI's April 2023 show-cause notice and subsequent orders flagging issues with subsidiaries Ybrant Media Acquisition Inc and Vuchi Media, and (c) no impairment provision made for the ~₹168.87 crore investment in Vuchi Media, whose acquisition deal was revoked. Management agreed with all qualifications, stating no impact on the financials, and noted that 1.4 crore Vuchi Media shares are pending cancellation through legal process. On the regulatory front, the company withdrew one SAT appeal after SEBI's final order (Feb 6, 2025) and filed a writ petition in Telangana High Court, which granted interim relief on the penalty portion and observed prima facie that the penalty is not sustainable. Appeal 474/2024 is still pending before SAT.
The qualified audit opinion and unresolved SEBI regulatory matters continue to weigh on governance credibility, but the Telangana High Court's interim relief on penalties is a meaningful positive for shareholders. Investors should watch the outcome of SAT Appeal 474/2024 and the High Court writ, as an adverse ruling could materially impact the stock.
