Bilcare Limited, the sole promoter of Caprihans India Limited, converted a total of 14,40,000 convertible warrants into equity shares across three tranches on May 28, 29, and 30, 2026, at Rs. 200 per share (Rs. 10 face value + Rs. 190 premium), for an aggregate value of Rs. 28.80 crores. As a result, Bilcare's holding in Caprihans rose from 94,78,325 shares (59.56%) to 1,09,18,325 shares (62.92%), an increase of about 3.36 percentage points. After these conversions, 5,80,000 convertible warrants remain outstanding with the promoter. The warrant conversion is part of a previously issued preferential allotment to the promoter.
This signals continued promoter confidence in Caprihans India through fresh equity infusion of nearly Rs. 29 crores and strengthens promoter control beyond 60%, which may reduce free float. Shareholders should note increased promoter consolidation, but the dilution from the remaining 5,80,000 warrants could still affect shareholding in the future.
