Bilcare Ltd, the sole promoter of Caprihans India Ltd, converted 5,20,000 convertible warrants into equity shares on 28 May 2026 via a preferential allotment. This is the first tranche of a total of 20,20,000 warrants originally held. As a result, Bilcare's holding in Caprihans rose from 94,78,325 shares (59.56%) to 99,98,325 shares (60.84%) of the equity share capital. On a fully diluted basis, the promoter stake stands at 64.11%. A further 15,00,000 warrants remain pending conversion, which, if fully converted, would keep the promoter holding at 64.11% on a fully diluted basis and reduce public shareholding from 39.16% to 35.89%.
This is a positive signal of promoter confidence, as Bilcare is putting in additional capital by converting warrants rather than selling or reducing its stake. For shareholders, the move strengthens promoter control, slightly dilutes the public float, and signals long-term commitment to the subsidiary.
