CEAT's board approved Q2 FY26 standalone revenue of Rs 4,548 cr (up 22.9% YoY) but PAT fell to Rs 164 cr from Rs 202 cr. Consolidated PAT dipped to Rs 112 cr from Rs 186 cr. Operating margin shrank sharply from 13.7% to 10.1% as costs rose faster. Exceptional Rs 13 cr VRS charge hit profits. Mr. Sumeet Narang, founder of Samara Capital, was appointed independent director for 5 years. Board also amended the related party transactions policy.
Revenue grew over 20% but margins compressed and PAT declined due to VRS costs. New director and updated RPT policy are governance updates.
