Centrum Capital's board on May 16, 2025 approved the audited consolidated and standalone results for FY25. Total revenue from operations grew sharply to Rs. 3,49,340 lakhs (up ~58% from Rs. 2,20,681 lakhs in FY24), driven by the Banking Business and Housing Finance segments. However, the consolidated net loss attributable to owners widened to Rs. 18,748 lakhs (from Rs. 9,935 lakhs), with EPS at Rs. (4.51). The loss includes an exceptional item from divesting foreign subsidiaries in Singapore, Hong Kong, and Mauritius. The board also approved raising up to Rs. 1,000 crore via Non-Convertible Debentures and up to Rs. 1,000 crore via rights issue, private placement, or QIP. Additionally, warrants worth Rs. 200 crore will be issued on a preferential basis to JBCG Advisory Services, a promoter group entity. Three new directors (Subhash Kutte, Rajeev Uberoi, Basant Seth) and a new Secretarial Auditor (Umesh P. Maskeri for 5 years) were also appointed. The statutory auditor (Sharp & Tannan) issued an unmodified opinion.
Strong top-line growth is encouraging, but widening losses and a large equity infusion (potential dilution) may pressure the stock short-term. The preferential issue to the promoter group signals insider confidence, though minority shareholders should watch the issue price and dilution closely.
