Centuple Global Ltd (formerly Checkpoint Trends Ltd) has allotted 1,66,74,072 convertible warrants at Rs. 45.01 per warrant, aggregating to about Rs. 75.05 crore, through a preferential private placement. Each warrant can be converted into one equity share of Rs. 10 face value within 18 months, with 25% (around Rs. 18.76 crore) already received from allottees and the remaining 75% payable on conversion. The warrants were allotted to 9 non-promoter allottees, with the two largest being Pandokhar Food LLP and Lemon Electronics Limited, each receiving 66,65,186 warrants worth Rs. 7.5 crore. The board had approved this preferential issue on September 24, 2025, followed by shareholder approval on October 27, 2025 and BSE in-principle approval in February 2026.
This is a significant capital raise of about Rs. 75 crore (potential, on full conversion) which will dilute existing shareholders once warrants are converted into equity.
