The board of Centuple Global Ltd has approved the allotment of 1,66,74,072 (about 1.67 crore) convertible warrants to 9 non-promoter allottees at a price of Rs. 45.01 per warrant, aggregating to roughly Rs. 75.05 crore. Each warrant can be converted into one equity share of Rs. 10 face value within 18 months. Investors have already paid 25% upfront (about Rs. 18.76 crore), and the remaining 75% will be payable at the time of conversion into shares. The two biggest allottees are Pandokhar Food LLP and Lemon Electronics Limited, each receiving around 66.65 lakh warrants. This was a preferential private placement, approved by shareholders in October 2025 and by BSE in February 2026.
If all warrants are converted into equity shares, the company's share base will expand significantly (potential dilution of up to 1.67 crore shares), though the company has already received Rs. 18.76 crore in fresh funds. Existing shareholders should watch for possible dilution and any further corporate actions from this small-cap company.
