Chembond Chemical Specialties Ltd (CCSL) submitted its audited financial results for Q4 FY25 and full year FY25, marking its first results as the newly structured entity after a major Composite Scheme of Arrangement approved by NCLT on April 7, 2025. Under the scheme, Chembond Clean Water Technologies Ltd was amalgamated into CCSL, and the Construction Chemicals and Water Technologies business of Chembond Material Technologies Ltd (formerly Chembond Chemicals Ltd) was demerged into CCSL, effective from the appointed date of April 1, 2024. Shareholders of the demerged company received 2 shares of CCSL (face value Rs. 5) for every 1 share held, resulting in allotment of 2,68,96,576 shares. On a standalone basis, revenue from operations fell to Rs. 5,990 lakhs in FY25 from Rs. 6,886 lakhs (restated) in FY24, while PAT dropped to Rs. 602.85 lakhs from Rs. 743.03 lakhs. EPS declined to Rs. 2.24 from Rs. 2.76. On a consolidated basis, revenue grew modestly to Rs. 29,227 lakhs from Rs. 28,324 lakhs (restated), with PAT rising to Rs. 3,092 lakhs from Rs. 3,002 lakhs, and EPS at Rs. 11.54 vs Rs. 11.20. The auditor (SHBA & Co LLP) issued an unmodified opinion with an Emphasis of Matter paragraph highlighting the scheme, and comparative figures were restated in line with IND AS 103.
The restructuring reshapes Chembond into a focused specialty chemicals entity with construction chemicals and water technologies as its core business. Short-term standalone performance has weakened, but consolidated numbers show stable growth. Shareholders now hold stock in the newly listed CCSL, and investors should track whether the integrated business delivers operational synergies going forward.
