The company filed an errata to its December 2024 quarter shareholding pattern to correct the classification of legal heirs of its late promoter, Mr. A.N. Radhakrishnan, who passed away intestate in December 2022 holding 37.57 lakh shares (50.3% of capital). Following a court-decreed settlement among the legal heirs, the shares were transmitted on 16 December 2024 and divided in 1/5 (or 1/10 for grandsons) ratios among the wife, two sons, a daughter, and two grandsons. All six legal heirs plus Mr. Akash Prabhakar (son of Jayanthi, holding 37,000 shares) have been reclassified from 'public' to 'Promoter' under SEBI rules on transmission/inheritance. Total promoter and promoter group holding now stands at 42.64 lakh shares or 57.1%, with public holding at 42.9%. The company clarified that the changes are typographical corrections and no other data in the original filing has changed.
Shareholders should note that the promoter base has broadened to include the entire family of the deceased founder, with control consolidated within the family through a court-mediated settlement. This formalises succession and removes uncertainty around the estate, but the overall promoter grip on the company remains strong at 57.1%, with no impact on public shareholding or voting structure.
