Clara Industries has allotted 50 lakh equity shares at Rs. 25 each (Rs. 15 premium over the Rs. 10 face value) to two foreign funds – North Star Opportunities Fund VCC-Bull Value Incorporated Vcc Sub-Fund and Eminence Global Fund PCC-Eubilia Capital Partners Fund I – each receiving 25 lakh shares. This preferential issue raised Rs. 12.5 crores and forms part of a broader fund-raise plan approved by members on June 1, 2025. Additionally, 57.5 lakh fully convertible warrants to promoter/promoter group and non-promoter public category have been approved but are pending receipt of funds. After this allotment, the company's paid-up equity capital has grown to Rs. 25.67 crores comprising 2.57 crore shares, marking an increase of roughly 19.5% in the share count. The newly issued shares are subject to SEBI-mandated lock-in periods.
The Rs. 12.5 crore infusion strengthens the company's balance sheet, but the preferential allotment at a 150% premium to face value may still dilute existing shareholders by about 19.5%.
