Clean Science and Technology has disclosed that three of its four promoter individuals — Ashok Boob, Krishnakumar Boob, and Parth Maheshwari — together with their promoter group members, who hold 5,86,35,297 shares (55.18% of paid-up capital), are reviewing their shareholding with a view to a possible minority sale. The aim is family estate planning and providing liquidity by monetising a small portion of their investment. The fourth promoter, Siddhartha Sikchi, and his group (holding 19.79%) have committed to keeping their stake unchanged. Promoters have stated that even after the proposed sale, their aggregate holding will remain above 50%, so control of the company will not change.
This is only an expression of intent, not a binding commitment, so there is no immediate share supply hitting the market. However, it is a forward signal of a potential future block deal, which could create a temporary overhang on the stock. Long-term shareholders can take comfort that promoters intend to stay as majority shareholders above the 50% mark.
