BSE and NSE have each imposed a fine of Rs 12,66,140 (inclusive of GST) on Coal India for non-compliance with SEBI LODR rules for the quarter ended 30 June 2026. The lapses relate to Regulations 17, 18, 19, 20 and 21, which cover board composition, audit committee, nomination and remuneration committee, stakeholders relationship committee, and risk management committee. CIL says the non-compliance is due to shortage of independent directors, whose appointment is made by the President of India and is outside the company's control. CIL has requested a waiver from BSE and notes that past waiver requests were granted.
Financial impact is small at about Rs 25.32 lakh total, but reflects a board composition issue. Waiver likely given the government-controlled nature and past precedents.
