Coforge Limited's Board approved availing a USD 550 million secured loan facility from a consortium of international banks including JPMorgan Chase, Bank of America, Citibank, HSBC and BNP Paribas at a fixed interest rate of 4.6% per annum for a 3-year tenor. The loan will be secured by a first ranking pari passu charge over the company's current assets and moveable fixed assets. This facility is specifically to fund the company's USD 550 million investment into Encora Holdings Limited (USD 270 million) and Encora US Holdco, Inc. (USD 280 million) as part of the previously announced Encora acquisition. Additionally, the company allotted 93.8 million equity shares worth approximately INR 17,033 crore to Encora Holdco Limited and AI Altius Parent (Cayman) Limited as consideration for the acquisition, increasing paid-up capital from INR 67.17 crore to INR 85.93 crore. Two new non-executive directors from Advent Private Equity were also appointed.
The USD 550 million debt raise at a fixed 4.6% rate is a significant borrowing for the company to fund its largest acquisition. The share issuance will dilute existing shareholders by about 28%. While the debt increases leverage, the acquisition of Encora could expand Coforge's global technology services presence.
