Dev Accelerator's board has approved a preferential issue to raise up to about Rs. 35 crores in two parts. First, up to 33.33 lakh convertible warrants at Rs. 45 each (totalling ~Rs. 15 crores) will be issued to three promoters — Shah Parth Naimeshbhai, Uttamchandani Umesh Satishkumar, and Rushit Shardulkumar Shah — with each warrant convertible into one equity share within 18 months. Second, up to 44.44 lakh equity shares at Rs. 45 each (totalling ~Rs. 20 crores) will be issued to Infibeam Projects Management Private Limited, a non-promoter entity, which would take its holding to about 4.7% post-issue. A postal ballot will be held to seek shareholder approval for the issuance.
Existing shareholders will face dilution of roughly 7-8% on a fully diluted basis, but the promoters' participation signals confidence in the business. The entry of an Infibeam-group entity as a new investor is a noteworthy development, though short-term stock price may react negatively due to the dilution overhang until the postal ballot clears.
