Dipna Pharmachem's board, at a meeting on 9th September 2025, approved the allotment of 2,98,74,000 (nearly 2.99 crore) convertible warrants on a preferential basis. Each warrant, priced at Rs. 13.05 (including a Rs. 3.05 premium over the Rs. 10 face value), can be converted into one equity share within 18 months. Allottees have paid 25% upfront (totalling about Rs. 9.75 crore), with the remaining 75% due at the time of conversion. If fully converted, the company could raise roughly Rs. 39 crore in additional equity. Major allottees include promoter Keyur Dipakkumar Shah (96 lakh warrants) and Ashok Dilipkumar Jain (94.02 lakh warrants), alongside 21 other allottees from the promoter and non-promoter categories.
The warrant issue is potentially dilutive — if all warrants are converted, the equity base expands by nearly 3 crore shares. However, strong promoter participation signals insider confidence, and the staggered payment structure eases immediate cash burden on the company.
