Binny Ltd's board met on September 1, 2025, and discussed pending SEBI LODR and Companies Act compliances needed to lift the existing suspension of its shares from trading on BSE. The board also worked on complying with a SEBI order regarding the transfer of 117.33 acres of Chengalpet land from M/s. Mohan Breweries and Distilleries Ltd (MBDL) via Sale Deed instead of the earlier Agreement of Sale plus Power of Attorney route. The company has already executed the Sale Deed for 18.44 acres and is registering the balance. In a positive development, the board approved a Draft Term Sheet from M/s. Osian Construction Pvt Ltd (group company of SPR Construction) for a Joint Development Agreement (JDA) on the 12.43-acre Valasaravakkam land, with an initial security deposit of Rs. 20 crore (out of Rs. 50 crore total) to fund the registration of remaining Chengalpet land. The JDA is projected to create an estimated value of Rs. 850 crore over the next 3–4 years, though it still needs shareholder approval. The company is also appealing the SEBI order before the Securities Appellate Tribunal (SAT).
The trading suspension remains a significant overhang on the stock until compliances are completed, limiting liquidity for shareholders. However, the approved JDA and large land monetization plan could unlock substantial long-term value if executed successfully, with potential inflow of Rs. 50 crore in security deposits near-term.
