Dish TV India faced fines of Rs 4.5 lakh each from NSE and BSE (total Rs 9 lakh) for not meeting the minimum board strength of 6 directors under SEBI LODR Regulation 17(1) for the quarter ended March 31, 2026. The board says the shortfall happened because shareholders did not approve director appointments and the company needs prior approval from the Ministry of Information and Broadcasting. After a series of appointments and re-appointments since December 2024, the board now has only 4 directors. The board claims the non-compliance is entirely beyond its control.
Penalty of Rs 9 lakh is minor but governance weakness persists. Board still falls short of required 6 directors; investors should watch board reconstitution.
