Dishman Carbogen Amcis Limited's Board approved audited FY2026 consolidated results showing Total Income of Rs. 2,987.84 Crores (up 9.3% YoY) and Net Profit of Rs. 97.45 Crores (vs Rs. 3.24 Crores prior year). Standalone results showed a loss of Rs. 38.40 Crores due to inter-company eliminations and holding company expenses. Key decisions include: (1) Approval of ECB up to CHF 200 million (~Rs. 2,452 Crores) from promoter group company Aamanya AG at SARON+400bps to refinance existing debt; (2) Increase in borrowing limits from Rs. 1,700 Crores to Rs. 4,000 Crores subject to shareholder approval; (3) Re-appointment of T R Chadha & Co. LLP as statutory auditors for second term of 5 years. Auditors issued unmodified opinion with Emphasis of Matter on goodwill treatment (carrying value Rs. 580.96 Crores extended to 99-year life) and financial covenant deviation at standalone level (Rs. 84.44 Crores debentures) for which waivers are partially obtained.
The massive jump in consolidated PAT is partly base effect; standalone losses and covenant deviations indicate underlying stress at entity level. The large ECB from promoter at favorable rates will reduce interest costs but increases related-party exposure significantly. Shareholders should scrutinize the covenant deviation and standalone performance.
