East West Freight Carriers Ltd informed the stock exchanges that the National Company Law Tribunal (NCLT), Mumbai Bench has admitted the company's petition to consolidate its equity shares. The face value of shares will increase from Rs. 2/- to Rs. 10/- per share, meaning every 5 shares of Rs. 2/- will become 1 share of Rs. 10/-. As a result, the total number of shares will reduce from 12,75,75,000 to 2,55,15,000, while the paid-up share capital remains unchanged at Rs. 25,51,50,000. The Board approved this on 14 February 2025 and shareholders approved it via postal ballot on 26 March 2025. Post consolidation, about 2,475 shareholders with fractional entitlements will receive cash instead of shares. The next hearing is scheduled for 8 April 2026.
Share consolidation does not change the company's value or a shareholder's proportional ownership, but it raises the per-share price, which may improve market perception and attract institutional investors. Shareholders should note the record date once announced, as fractional shares will be settled in cash.
