Easy Trip Planners (EASEMYTRIP) has sent out a Postal Ballot Notice seeking shareholder approval to issue 55.93 crore equity shares of face value ₹1 each at ₹9.19 per share (including ₹8.19 premium) on a preferential, non-cash basis, totalling ~₹514.07 crore. The shares will be allotted to 7 non-promoter allottees in lieu of cash, as consideration for acquiring stakes in 5 target companies: 100% of AB Finance, 50% of Three Falcons Notting Hill, and 49% each in Javaphile Hospitality, Levo Beauty, and SSL Nirvana Grand Golf Developers. Largest allottees include Mr. Divyank Singhal (19.04 crore shares, ~₹175 crore), Dhankalash Distributors (11.32 crore shares, ~₹104 crore), and Mr. Ashish Begwani (9.83 crore shares, ~₹90 crore). E-voting runs from November 5, 2025 to December 4, 2025, with results expected by December 8, 2025.
This is a major share-swap acquisition that will substantially increase Easy Trip's share count and cause significant dilution for existing shareholders. The non-cash nature means no fresh capital inflow, but the company is pivoting/expanding into financial services, hospitality, beauty, and golf real estate sectors through these acquisitions.
