On the reaction day the stock moved 8.0 pts more than Nifty Smallcap 250 and 6.7 pts more than its Business Process Outsourcing (BPO)/ Knowledge Process Outsourcing (KPO) peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.
Minute windows have no benchmark: there is no intraday index history to compare against.
The board approved a tender offer for up to 666,666 shares at Rs 4,500 each, capped at Rs 3,000 million before expenses. This equals 21.08% of standalone and 13.80% of consolidated paid-up capital plus free reserves at March 31, 2025. The record date is yet to be set, and shareholder approval is required by postal ballot. At least 15% of the buyback, or the small-shareholder entitlement if higher, is reserved for small shareholders. Promoters will not participate.
Potentially positive due to cash returns and a lower share count, subject to shareholder approval and the Rs 4,500 price versus market value.
